These Terms and Conditions ("Terms") constitute a legally binding contract between you ("Client", "User", or "you") and Digital Kuppam ("Company", "we", "us", or "our"), governing your access to and use of our website (digitalkuppam.com), software products, mobile applications, and custom IT services.

By accessing our website, purchasing our software, or entering into a service agreement with Digital Kuppam, you confirm that you have read, understood, and agree to be bound by these Terms, as well as the provisions of the Indian Contract Act, 1872 and the Information Technology Act, 2000.

Throughout these Terms, the following definitions apply:

• "Services" — Web development, software development, mobile application development, cloud hosting, UI/UX design, API integrations, and managed IT services delivered by Digital Kuppam.
• "Deliverables" — Source code, design assets, databases, web platforms, applications, documentation, and technical materials created for the Client under a Statement of Work (SOW) or Service Agreement.
• "Software Products" — Proprietary SaaS products owned by Digital Kuppam, including Gotit4All, WebAutoMax, Hello Kuppam, Wapplin, and Giftthem.
• "Intellectual Property (IP)" — Patents, copyrights, trademarks, trade secrets, software code, UI designs, and proprietary algorithms.

Digital Kuppam provides comprehensive digital engineering and IT solution services, including:

• Custom web application development (React, Next.js, Node.js, Laravel, PHP, Python)
• Mobile application development (Android, iOS, Flutter, React Native)
• Enterprise software solutions (Gotit4All, WebAutoMax, Wapplin)
• Cloud deployment, VPS management, database optimization, and DevOps
• UI/UX wireframing, prototyping, and modern interface design
• API gateway development, microservices architecture, and payment gateway integration
• System maintenance, software upgrades, and dedicated technical retainers

Specific project milestones, deliverables, timelines, and acceptance criteria are documented in individual Statements of Work (SOW) or project proposals executed between the parties.

As a Client or User of Digital Kuppam services, you agree to:

• Provide accurate, complete, and updated business, technical, and contact information.
• Maintain the confidentiality of your account credentials, API keys, and administrative access.
• Ensure all content, images, data, and specifications provided to Digital Kuppam for project execution do not infringe upon third-party copyrights or trademark rights.
• Refrain from using Digital Kuppam services for illegal, fraudulent, deceptive, or unauthorized activities.
• Refrain from reverse engineering, decompiling, vulnerability scanning, or unauthorized scraping of Digital Kuppam platforms.

All fees for services and software subscriptions are billed in Indian Rupees (INR) or agreed foreign currency, subject to applicable Taxes (GST). Payment terms are as follows:

• Custom Projects: Project billing follows milestone schedules specified in the project contract (typically advance deposit, mid-project milestone, and final release payment).
• SaaS Subscriptions: Billed in advance on a recurring monthly or annual cycle.
• Late Payments: Invoices overdue by more than 15 calendar days may incur late interest at 1.5% per month and may result in temporary service suspension until paid.

Ownership of intellectual property and deliverables is governed as follows:

• Custom Client Deliverables: Upon receipt of 100% full payment for a custom development project, Digital Kuppam transfers full ownership rights of the bespoke source code and design assets specifically developed for the Client.
• Pre-Existing & Proprietary IP: Digital Kuppam retains sole ownership of all pre-existing frameworks, core architecture, re-usable utility libraries, developer toolkits, and proprietary SaaS platforms (Gotit4All, WebAutoMax, Wapplin, Hello Kuppam, Giftthem).
• Portfolio Showcase: Digital Kuppam reserves the right to showcase completed non-confidential client projects in its portfolio, website, and case studies unless restricted by a signed Non-Disclosure Agreement (NDA).

Digital Kuppam strives to deliver high-availability services with an operational target uptime of 99.9% for hosted SaaS solutions. However, we do not guarantee uninterrupted or error-free operation.

Scheduled maintenance, system upgrades, emergency server repairs, network outages, or third-party infrastructure failures may occasionally impact service availability. Digital Kuppam will endeavor to provide advance notification for planned maintenance whenever feasible.

Digital Kuppam solutions may integrate third-party services, including payment gateways (PhonePe, Razorpay, Stripe), cloud providers (AWS, GCP, Hostinger), communication APIs (WhatsApp Business API, SMS Gateways, Google Workspace), and analytics tools.

Digital Kuppam is not responsible for service interruptions, terms modifications, rate limits, API deprecations, or policy changes enacted by third-party providers.

Digital Kuppam reserves the right to suspend or terminate service access, account privileges, or project contracts immediately if:

• The Client fails to pay outstanding invoices within the agreed payment timeframe.
• The Client breaches any provision of these Terms or associated non-disclosure/service agreements.
• The Client engages in abusive behavior toward Digital Kuppam staff or uses services for unlawful purposes.

To the maximum extent permitted by applicable law, Digital Kuppam, its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, loss of data, business interruption, or reputational loss — arising from your use of or inability to use our services.

Digital Kuppam's total cumulative liability for any claim arising out of or related to these Terms or services shall not exceed the total amount paid by the Client to Digital Kuppam for the specific project or service in the three (3) months preceding the incident.

Your privacy is important to us. All personal data collected, stored, or processed by Digital Kuppam during the provision of services is governed by our Privacy Policy, which complies with the Digital Personal Data Protection Act, 2023 (DPDPA) and the Information Technology Act, 2000.

These Terms shall be governed by, construed, and enforced in accordance with the laws of India, without giving effect to conflict of law principles.

In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the parties agree to first seek resolution through good-faith mutual negotiations. If unresolved within 30 days, such disputes shall be subject to the exclusive jurisdiction of the competent courts in Chittoor District / Andhra Pradesh, India.
